NewTree Terms of Service

Effective Date: May 2026

1. Definitions

“Platform” means NewTree’s website, applications, services, features, technology, communications, and related systems.

“User” means any person who accesses or uses the Platform.

“Host” means any user, business, organizer, or entity that creates, promotes, manages, or operates events through the Platform.

“Content” means text, images, videos, audio, reviews, messages, event listings, comments, media, and other materials submitted to or displayed on the Platform.

2. About NewTree

NewTree is a location based platform that helps users discover, share, RSVP to, organize, and participate in local events, activities, and communities.

NewTree provides tools that allow users, hosts, businesses, and organizers to connect around real world experiences. NewTree itself does not organize, operate, supervise, or control events unless explicitly stated otherwise.

Events listed on the Platform are independently created and operated by third party hosts, businesses, organizations, or individuals.

Unless explicitly stated otherwise, NewTree does not conduct criminal background checks, identity verification, sex offender checks, licensing verification, or screening of users, hosts, attendees, businesses, or organizers.

3. Eligibility

You must be at least 18 years old to create an account or use NewTree. By using NewTree, you represent and warrant that:

  • You are at least 18 years old.
  • The information you provide is accurate and truthful.
  • You are legally able to enter into these Terms.
  • You will comply with all applicable laws and regulations.

You may not:

  • Impersonate another person or organization.
  • Create accounts using false or misleading information.
  • Misrepresent your identity, age, or eligibility information.
  • Use NewTree for unlawful purposes.
  • Attempt to evade suspensions, bans, restrictions, or moderation actions through alternate accounts.

NewTree is not directed toward children under 18 and does not knowingly collect personal information from minors.

4. Accounts

Users are responsible for maintaining the security of their accounts and for all activity occurring under their accounts.

Users may request account deletion in accordance with NewTree’s policies and applicable law. NewTree may retain information where legally required or necessary for moderation, fraud prevention, safety enforcement, dispute resolution, operational integrity, or legal compliance.

NewTree may suspend, restrict, remove, or terminate access to the Platform at any time, with or without notice, for any reason.

5. Hosts and Events

Hosts are solely responsible for:

  • Event safety.
  • Event accuracy.
  • Venue management.
  • Attendee management.
  • Compliance with laws.
  • Required permits or licenses.
  • Conduct occurring at their events.

Hosts may not create fake, misleading, fraudulent, or non existent events.

Verification badges, host approvals, business labels, account reviews, or similar indicators do not constitute guarantees of identity, trustworthiness, legitimacy, safety, qualifications, or conduct.

Hosts assume all risks associated with organizing, promoting, managing, and operating events through the Platform.

Participation in any event, activity, meetup, or interaction discovered through the Platform is at the user’s sole risk. NewTree cannot and does not guarantee the safety, legality, truthfulness, quality, suitability, attendance, visibility, engagement, or outcome of any event, host, business, organizer, or activity.

6. Prohibited Events and Activities

The following events, activities, or uses of the Platform are prohibited:

  • Illegal drug activity or trafficking.
  • Weapons trafficking or unlawful weapons related events.
  • Prostitution, escort services, or sexual exploitation.
  • Hate groups, extremist organizations, or violent activity.
  • Fraudulent investment schemes or pyramid schemes.
  • Unauthorized ticket resale where prohibited by law.
  • Dangerous or reckless stunts likely to cause harm.
  • Events promoting unlawful conduct or criminal activity.
  • Manipulative, deceptive, or fraudulent business activity.

NewTree reserves the right to remove, restrict, investigate, or report prohibited events or activities at its sole discretion.

7. User Conduct and Safety Enforcement

Users may not:

  • Harass, threaten, stalk, intimidate, or abuse others.
  • Facilitate violence, unlawful gatherings, or criminal activity.
  • Engage in sexual exploitation, trafficking, predatory behavior, or exploitation of minors.
  • Upload illegal, infringing, deceptive, manipulative, or fraudulent content.
  • Engage in scams, spam, misinformation campaigns, or impersonation.
  • Interfere with Platform systems, operations, or security.

Users understand that interacting with strangers, attending events, and participating in activities arranged through the Platform involves inherent risks.

NewTree is not a law enforcement agency, emergency service provider, or public safety organization. Users should contact appropriate emergency services, law enforcement, or medical providers in emergency situations.

Users may report content, events, accounts, or conduct believed to violate these Terms or applicable law. NewTree may proactively remove content, investigate conduct, preserve records, cooperate with law enforcement, disclose information where legally required, escalate urgent safety matters, suspend accounts, or terminate access in order to protect users, businesses, hosts, organizers, public safety, or the Platform.

Additional standards of conduct may be described in NewTree’s Community Guidelines, which are incorporated into these Terms by reference.

8. Reviews and User Feedback

Reviews reflect the opinions and experiences of individual users and do not represent the views of NewTree.

NewTree is not responsible for negative reviews, reputational harm, business losses, disagreements regarding ratings, or user opinions. Hosts and users acknowledge that participation in public reviews and ratings is part of using the Platform.

9. Assumption of Risk and Safety Disclaimer

By attending events, interacting with others, or participating in activities discovered through the Platform, users voluntarily assume all risks associated with such activities, including risks of physical injury, illness, theft, harassment, assault, emotional distress, property damage, serious bodily injury, disability, or death.

NewTree does not supervise events, control attendee behavior, verify event legality, or guarantee the conduct, identity, intentions, legitimacy, qualifications, or safety of users, hosts, attendees, businesses, organizers, or third parties.

Users are solely responsible for exercising independent judgment, caution, and personal safety when attending events or interacting with others through the Platform.

10. Release

To the fullest extent permitted by law, users release NewTree, its affiliates, officers, employees, contractors, licensors, partners, agents, and representatives from claims, disputes, liabilities, damages, demands, and causes of action arising out of or relating to:

  • Interactions between users.
  • Attendance at events.
  • Conduct of hosts, attendees, businesses, organizers, or third parties.
  • Injuries, losses, damages, theft, harassment, or incidents occurring in connection with events or activities discovered through the Platform.
  • Disputes between users or third parties.

11. Payments, Refunds, Taxes, and Financial Responsibility

NewTree is not responsible for refunds, cancellations, chargebacks, ticketing disputes, payment processor disputes, financial losses, or disputes between users, attendees, hosts, organizers, or businesses.

Refund policies are determined solely by the event host unless explicitly stated otherwise by NewTree.

NewTree may facilitate payments and collect service fees through authorized third party payment providers.

Hosts are solely responsible for determining, collecting, reporting, and remitting applicable taxes related to events, ticket sales, subscriptions, promoted events, or business activities.

Users are subject to the terms and policies of third party payment providers, app stores, or financial infrastructure providers used in connection with the Platform.

12. Event Sharing and External Distribution

Users may share events, profiles, listings, or content outside the Platform through links, screenshots, social media platforms, messaging applications, or other sharing tools.

NewTree is not responsible for external reposting, redistribution, inaccurate representations of shared content, interactions occurring outside the Platform, or third party services where content is shared.

13. Content and Media

Users retain ownership of uploaded content while granting NewTree a worldwide, non exclusive, royalty free license to host, display, reproduce, distribute, promote, and operate such content in connection with the Platform.

Users represent and warrant that:

  • They own or have permission to use uploaded content.
  • Uploaded content does not violate laws or third party rights.
  • Uploaded content complies with these Terms.

NewTree may remove or restrict content at any time for moderation, safety, operational, legal, or policy reasons.

14. Moderation, Ranking, and Platform Systems

NewTree may use moderation tools, automated systems, ranking systems, recommendation systems, manual review processes, and internal policies to manage feed visibility, search results, recommendations, spam prevention, safety enforcement, reporting systems, and platform operations.

NewTree may impose posting limits, visibility limits, account restrictions, event creation limits, communication limits, or other usage limitations at its discretion.

NewTree does not guarantee any specific level of visibility, distribution, engagement, attendance, reach, ranking placement, or promotional outcome.

15. Privacy and Data Use

Use of the Platform is also governed by NewTree’s Privacy Policy. NewTree may collect and process:

  • Account information.
  • Profile information.
  • Uploaded media and content.
  • Device information.
  • Event participation activity.
  • Moderation and safety related information.
  • Approximate or precise location data.

Certain features may require access to approximate or precise location data.

NewTree may use analytics providers, cookies, tracking technologies, hosting providers, payment processors, infrastructure vendors, or third party service providers in connection with operating the Platform.

Depending on applicable law and user location, users may have rights relating to access, correction, deletion, portability, restriction, or objection to processing.

NewTree may retain information for operational integrity, legal compliance, moderation, fraud prevention, analytics, dispute resolution, safety enforcement, or security purposes.

By using the Platform, users consent to receive agreements, disclosures, legal notices, transactional emails, SMS messages, push notifications, RSVP reminders, moderation notices, operational communications, safety alerts, and service related notifications electronically.

16. Copyright Complaints and Repeat Infringers

NewTree respects intellectual property rights and expects users to do the same.

Notices should reasonably identify:

  • The copyrighted work claimed to be infringed.
  • The allegedly infringing material.
  • Contact information for the complaining party.
  • A statement made in good faith regarding ownership.

NewTree may remove allegedly infringing material, suspend repeat infringers, and process counter notices where applicable under relevant law.

17. User Generated Content Enforcement

NewTree may provide reporting systems, moderation systems, appeals processes, repeat violator enforcement, account restrictions, or other trust and safety mechanisms related to user generated content and platform activity.

NewTree reserves the right to:

  • Remove or restrict content proactively.
  • Investigate harassment, fraud, manipulation, abuse, misinformation, or deceptive conduct.
  • Escalate urgent safety matters.
  • Cooperate with law enforcement or legal authorities.
  • Restrict or terminate abusive or repeat violator accounts.

NewTree may take moderation action at its sole discretion in order to protect users, businesses, hosts, organizers, public safety, or the Platform.

18. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, express or implied. NewTree does not guarantee:

  • Uninterrupted access.
  • Error free operation.
  • Accurate event information.
  • Event legitimacy.
  • User identity verification.
  • Successful event outcomes.
  • Platform availability.
  • That the Platform will meet all user expectations.

19. Limitation of Liability

To the fullest extent permitted by law, NewTree shall not be liable for:

  • Event related incidents.
  • Injuries or accidents.
  • User conduct.
  • Financial losses.
  • Inaccurate listings.
  • Cancellations.
  • Harassment or third party conduct.
  • Indirect, incidental, consequential, punitive, or special damages.

Where permitted by law, NewTree’s aggregate liability shall not exceed the amount paid by the user to NewTree, if any, during the twelve months preceding the claim.

20. Intellectual Property

The NewTree name, branding, logos, interface elements, graphics, software, designs, and related platform materials are proprietary to NewTree LLC or its licensors and may not be copied, reproduced, distributed, modified, or commercially used without permission.

21. No Partnership or Employment Relationship

Nothing in these Terms creates any partnership, joint venture, agency, employment, contractor, fiduciary, or franchise relationship between NewTree and any user, host, organizer, business, or third party.

Hosts and users operate independently and are solely responsible for their own conduct, activities, events, businesses, and legal obligations.

22. Indemnification

Users agree to indemnify and hold harmless NewTree and its affiliates, officers, employees, contractors, licensors, and representatives from claims, damages, liabilities, losses, expenses, or demands arising from:

  • Use of the Platform.
  • Events or activities.
  • Uploaded content.
  • Violations of these Terms.
  • Conduct toward other users or third parties.

23. Force Majeure

NewTree shall not be liable for interruptions, failures, delays, outages, or damages caused by events outside its reasonable control, including weather events, natural disasters, infrastructure outages, internet failures, government actions, labor disputes, security incidents, or third party service failures.

24. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of NewTree shall be resolved through binding individual arbitration and not through court proceedings, except where prohibited by law.

Arbitration shall be administered by a recognized arbitration provider under applicable arbitration rules in the State of Florida unless otherwise required by law.

Users agree that:

  • Disputes will be resolved on an individual basis only.
  • Class actions and class arbitration are waived.
  • Jury trial rights are waived.

Users may opt out of arbitration by providing written notice within thirty (30) days of first accepting these Terms.

Nothing in this section prevents either party from pursuing eligible claims in small claims court where permitted by law.

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

25. Governing Law and Venue

These Terms are governed by the laws of the State of Florida. To the extent any dispute proceeds in court rather than arbitration, such dispute shall be brought exclusively in the state or federal courts located in Florida.

26. Mobile Application and App Store Terms

If the Platform is accessed through a mobile application distributed through the Apple App Store, Google Play Store, or another third party marketplace, users acknowledge that such marketplaces may have additional terms, conditions, and policies governing use of the application.

Apple, Google, and other marketplace operators are not responsible for the Platform, its content, operation, support, maintenance, or claims relating to the Platform.

Users acknowledge that third party marketplaces may be third party beneficiaries of these Terms to the extent required by their applicable terms and conditions.

27. Changes to Terms

NewTree may update these Terms from time to time. Continued use of the Platform after updated Terms become effective constitutes acceptance of the revised Terms.

28. Entire Agreement

These Terms and NewTree’s Privacy Policy constitute the entire agreement between users and NewTree regarding use of the Platform.

29. Assignment

NewTree may assign or transfer these Terms without restriction in connection with a merger, acquisition, restructuring, financing, or sale of assets.

30. Termination Effects and Survival

Upon termination of an account or access to the Platform:

  • User licenses and access rights terminate immediately.
  • NewTree may retain information where necessary for moderation, fraud prevention, safety enforcement, legal compliance, dispute resolution, or operational integrity.
  • Refunds are not guaranteed following account termination unless otherwise required by law.

Sections relating to arbitration, releases, limitation of liability, indemnification, intellectual property, moderation enforcement, disclaimers, governing law, and any provisions intended to survive termination shall remain enforceable after termination of these Terms or user accounts.
